Terms & Conditions

1. Introduction

These Terms of Business govern the relationship between Make It Real London Limited (trading as MIR LDN and MIR London) and its clients regarding the provision of services, including Marketing, Digital Marketing, Creative Design, Design & Product, Build/Manufacture, Event Management, Logistics, and Complex Project Management.

2. Definitions

• 'Client' refers to the entity engaging MIR LDN for services.
• 'Services' refers to the range of services offered by MIR LDN.

3. Services Provided

MIR LDN will deliver services as outlined in project proposals, subject to these Terms of Business.

4. Client Responsibilities

Clients are expected to provide necessary information and resources timely for successful project completion.

5. Fees & Payment Terms

• Work commences upon receipt of a purchase order number issued on company-headed paper, raised to the total value of the project/campaign, including relevant taxes and fees.
• 50% invoiced upfront; 50% invoiced upon project completion.
• Payment terms are 30 days from invoice date.

6. Cancellation Policy

• Clients must provide a **30-day notice period** for cancellations.
• If a client cancels **before work commences**, they may be refunded minus non-recoverable costs.
• If a client cancels **after work has commenced**, they remain liable for:
  • The **50% upfront fee**, which is non-refundable.
  • Any additional costs incurred up to the cancellation date.
• If a client cancels **after substantial completion**, the full project fee is due.
• If MIR LDN cancels, a refund may be offered based on work completed.
• Neither party is liable for delays or cancellations due to **force majeure** events.

7. Intellectual Property

MIR LDN will hold full ownership of all intellectual property rights until full payment for services is received. Upon receipt of full payment, the intellectual property rights will transfer to the client.

8. Confidentiality

MIR LDN and all suppliers, partners, and subcontractors will enter into confidentiality agreements to protect client information.

9. Liability & Disclaimers

MIR LDN shall not be liable for indirect losses or damages incurred by the client, including third-party services or delays.

10. Governing Law

These Terms of Business shall be governed by UK law.
